General Terms and Conditions (GTC)

Provider: ordosphere LLC ("HelloBoss"). These GTC apply exclusively to businesses (merchants within the meaning of § 14 BGB); no consumer contract is formed.

§ 1 Scope and contracting parties

These GTC apply to contracts between ordosphere LLC (operator of HelloBoss) and businesses within the meaning of § 14 of the German Civil Code (BGB). They apply exclusively to businesses. Deviating or conflicting terms and conditions of the customer do not become part of the contract, even if not expressly objected to.

§ 2 Conclusion of contract

The presentation of HelloBoss on the website is not a binding offer but an invitation to submit an offer. By submitting the registration, the customer makes a binding offer to conclude a usage agreement. The contract is concluded upon confirmation by HelloBoss, at the latest upon activation of access.

§ 3 Description of services

HelloBoss is a software-as-a-service application for WhatsApp- and Telegram-based construction site documentation using an AI assistant (processing of voice, photo and text messages, automated classification, report and file creation). The exact scope of functions results from the current product description on the website. A specific level of availability is not guaranteed; HelloBoss strives for high availability (see disclaimer of liability at /disclaimer).

§ 4 Trial period, prices and payment terms

The trial period is 30 days, is free of charge and does not automatically convert into a paid subscription. After the trial period, use of HelloBoss is billed at a monthly subscription price of EUR 99.00 net per construction company, unless otherwise agreed in the offer or on the website. All prices are exclusive of statutory VAT. Billing occurs monthly in advance.

§ 5 Payment processing

Payment processing takes place, depending on the chosen method, either via an external payment service provider acting as merchant of record (reseller) in its own name, or by invoice with bank transfer. The applicable payment method in each case is disclosed during the ordering process. If billing is carried out via a merchant of record, its terms additionally apply to the payment processing itself. Refunds are governed by our refund policy (/erstattung).

§ 6 Customer obligations

The customer uses HelloBoss lawfully and is responsible for informing its employees about the processing of their data (see /datenschutz) and for observing any required co-determination procedures. The customer ensures that no content is sent via HelloBoss that violates applicable law (in particular third-party personality rights and copyrights).

§ 7 Liability

ordosphere LLC is liable without limitation for intent and gross negligence, for damages resulting from injury to life, body or health, and under mandatory law (including the German Product Liability Act). In the case of slightly negligent breach of material contractual obligations (cardinal obligations), liability is limited to the typically foreseeable damage and is capped in total at twice the annual fee paid by the customer in the twelve months preceding the damaging event. Otherwise, liability for slight negligence is excluded. This does not entail a shift of the burden of proof to the detriment of the customer.

§ 8 AI-generated results

HelloBoss processes messages with the help of artificial intelligence (see /ki-transparenz). AI results (summaries, translations, transcripts, assignments) may contain errors. Automatically created files, reports and quote drafts are working aids and do not replace professional, legal or commercial review by the customer; quotes are never sent or billed automatically. The customer reviews AI results before any business use. No liability is assumed for decisions based solely on unreviewed AI output, except in cases of intent or gross negligence. AI output is labelled as such in the interface (Article 50 of Regulation (EU) 2024/1689); details are set out at how the AI works. The customer informs the persons whose messages are processed through HelloBoss that translation, transcription and voice output are automated.

§ 9 Term, termination and suspension

The subscription is billed monthly and may be terminated at any time effective at the end of the current billing period. No particular form is required. A button labelled „Verträge hier kündigen" (cancel your contract here, § 312k German Civil Code) is available on every page and leads directly, without login, to the confirmation page /kuendigen. After submission HelloBoss confirms the content of the cancellation together with the date and time of receipt without undue delay, on screen and by e-mail. Cancellation by e-mail or post is equally valid; details and periods are set out at withdrawal and cancellation. The right to extraordinary termination for cause remains unaffected. HelloBoss is entitled to temporarily suspend access in the event of a material breach of these GTC or payment default, following prior notice. Return and deletion of data after termination of the contract are governed by the data processing agreement (/avv).

§ 10 Data protection

In addition to these GTC, the parties conclude a data processing agreement (DPA) pursuant to Art. 28 GDPR (/avv), which becomes part of the contract. Otherwise, the privacy policy applies in its respective current version.

§ 11 Amendments to the GTC

Amendments to these GTC will be communicated to the customer in text form. If the customer does not object within 30 days of receipt of the notice, the amendments are deemed accepted; this is expressly pointed out in the notice. In the event of an objection, either party is entitled to terminate the contract effective upon the amendment taking effect.

§ 12 Final provisions and choice of law

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with the contract is the registered business seat of ordosphere LLC, to the extent legally permissible. Amendments and side agreements require text form. Should any provision be invalid, the validity of the remaining provisions remains unaffected.

§ 13 Language versions

These GTC are provided in German and English (German version: /agb). In case of discrepancies between the language versions, the German version prevails.
